This Agreement is between you ("Customer," "you," or "your") and Next Edge CNC, LLC ("Company," "we," "us," or "our"), the developer and owner of Machine Shop Manager Pro ("Software").
Subject to your payment of the applicable subscription fee and compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use one (1) copy of the Software on one (1) computer at one (1) physical location for your internal business operations.

The Software is provided on a subscription basis at $19.99 per month (or the price displayed at time of purchase). Your subscription renews automatically each month until cancelled.
Upon purchase, you will receive a unique license key tied to one machine. Your license key is personal to you and may not be shared, transferred, or published. If you need to transfer your license to a new machine, contact us at info@nextedgecnc.com.
The Software periodically contacts our license server to verify your subscription status. A grace period of up to 5 days is provided for offline use. After the grace period, the Software will require an internet connection to validate your license.
The Software may be used free of charge for a period of fourteen (14) days from first installation ("Trial Period"). No license key or payment is required during the Trial Period. At the end of the Trial Period, a valid subscription is required to continue using the Software. Trial use is subject to all other terms of this Agreement.
All data you enter into the Software (jobs, customers, employees, inventory, etc.) is stored locally on your computer. We do not have access to, collect, or store your business data. You are solely responsible for backing up your data. We are not liable for any data loss under any circumstances.
Active subscribers receive all software updates at no additional charge. Updates may be delivered manually by downloading a new version from our website. We reserve the right to change, add, or remove features at any time.
The Software, including all code, design, graphics, and documentation, is the exclusive property of Next Edge CNC, LLC and is protected by United States copyright law and international treaties. This Agreement grants you a license to use the Software — it does not transfer ownership of any kind.
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR MEET YOUR SPECIFIC REQUIREMENTS.
You are responsible for ensuring the Software is suitable for your intended use. The Software is a management tool and is not a substitute for professional judgment in operating your business or machinery.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXT EDGE CNC, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR PERSONAL INJURY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
This Agreement is effective until terminated. We may terminate your license immediately and without notice if you breach any term of this Agreement. Upon termination you must cease all use of the Software and delete all copies in your possession. Sections 8, 9, 10, and 12 survive termination.
You may terminate this Agreement at any time by cancelling your subscription and uninstalling the Software.
This Agreement is governed by the laws of the United States and the state in which Next Edge CNC, LLC is registered, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction. If any provision of this Agreement is found unenforceable, the remaining provisions remain in full effect.
This Agreement constitutes the entire agreement between you and Next Edge CNC, LLC regarding the Software and supersedes all prior agreements, representations, and understandings. We may update this Agreement from time to time. Continued use of the Software after changes constitutes acceptance of the updated terms. The current version is always available at nextedgecnc.com/eula.
