Next Edge CNC, LLC ("Next Edge CNC," "we," "us," or "our") operates nextedgecnc.com and develops Machine Shop Manager Pro. These Terms of Service ("Terms") govern your use of our website, software products, and any related services.

2. Products & Services

Next Edge CNC offers:

• Machine Shop Manager Pro — a subscription-based shop floor management software for Windows
• AI Assistant — an optional AI-powered assistant integrated into the Software, powered by Anthropic's Claude API
• nextedgecnc.com — our product website, documentation, and download portal

Use of Machine Shop Manager Pro is additionally governed by our End User License Agreement. In the event of a conflict between these Terms and the EULA regarding Software use, the EULA controls.

3. Accounts & Subscriptions

A valid subscription is required to use Machine Shop Manager Pro beyond the free trial period.

• Subscriptions are billed monthly at the price displayed at time of purchase
• You are responsible for providing accurate billing information
• You may cancel at any time; cancellation takes effect at the end of the current billing period
• We reserve the right to suspend or terminate access for non-payment or breach of these Terms

4. Acceptable Use

You agree not to:

• Use our products or services for any unlawful purpose
• Attempt to reverse engineer, decompile, or extract source code from the Software
• Share, resell, or redistribute license keys
• Probe, scan, or test vulnerabilities of our servers or infrastructure
• Transmit malicious code, viruses, or any content intended to damage our systems or those of other users
• Use the AI assistant to generate content that violates Anthropic's usage policies
• Impersonate Next Edge CNC or misrepresent your affiliation with us

5. AI Assistant

The AI assistant in Machine Shop Manager Pro is powered by Anthropic's Claude API. AI-generated responses are provided for informational and operational guidance purposes only.

• AI responses are not guaranteed to be accurate, complete, or suitable for your specific situation
• All machining decisions, safety practices, and operational judgments remain solely your responsibility
• Next Edge CNC is not liable for any damage to equipment, materials, or persons resulting from acting on AI-generated content
• Do not rely on AI responses as a substitute for qualified engineering judgment or manufacturer guidelines

6. Intellectual Property

All content on nextedgecnc.com and within Machine Shop Manager Pro — including code, design, graphics, text, and documentation — is the property of Next Edge CNC, LLC and is protected by United States copyright law. Nothing in these Terms grants you any ownership rights.

"Next Edge CNC" and "Machine Shop Manager Pro" are trademarks of Next Edge CNC, LLC. You may not use our name or trademarks without prior written permission.

7. Third-Party Services

Our products integrate with or depend on third-party services including:

• Anthropic — AI API provider (anthropic.com)
• Payment processor — handles billing and subscription management

These third parties have their own terms and privacy policies. Next Edge CNC is not responsible for the practices or content of third-party services.

8. Disclaimer of Warranties

OUR WEBSITE, SOFTWARE, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXT EDGE CNC, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR PRODUCTS OR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, EQUIPMENT DAMAGE, BUSINESS INTERRUPTION, OR PERSONAL INJURY.

OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Next Edge CNC, LLC and its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms or your misuse of our products or services.

11. Changes to These Terms

We may update these Terms from time to time. We will provide notice of material changes via the in-app update banner or by email to active subscribers. Your continued use of our products after changes take effect constitutes acceptance of the updated Terms. The current version is always available at nextedgecnc.com/terms.

12. Governing Law

These Terms are governed by the laws of the United States and the state in which Next Edge CNC, LLC is registered, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.
